Terms of Service

1. Acceptance of Terms

By accessing or using the AmpGate platform, API, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation, and these Terms apply to the organisation as well as to you individually.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

AmpGate is an API-based agentic identity and access management platform that enables organisations to issue scoped, time-limited credentials to AI agents, enforce access policies, and maintain tamper-proof audit logs. The Service is provided over the internet on a subscription or pay-as-you-go basis.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes or planned discontinuation, we will provide at least 30 days' written notice to active paid subscribers. We will provide a pro-rated refund of any prepaid fees covering the period after discontinuation.

3. Accounts and Eligibility

  • You must be at least 18 years of age and legally capable of entering into a binding contract to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must provide accurate, complete, and current information during registration and keep it updated.
  • You must notify us immediately at security@ampgate.io of any unauthorised access to your account.
  • One free trial is permitted per person or organisation. Creating multiple accounts to obtain additional trial access constitutes abuse of the Service.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Transmit malware, ransomware, or any malicious or harmful code;
  • Engage in automated scraping, bulk data harvesting, or denial-of-service attacks against the Service or any third party;
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service;
  • Circumvent, disable, or interfere with security features, rate limits, or access controls;
  • Resell, sublicense, or re-offer access to the Service without our prior written consent;
  • Use the Service to generate, transmit, or facilitate spam, phishing, or fraudulent communications;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Engage in any activity that disproportionately burdens our infrastructure or degrades the experience of other users.

We reserve the right to investigate suspected violations and, at our sole discretion, suspend or terminate accounts involved in prohibited activity without prior notice.

5. API Keys and Credentials

API keys issued to your account are personal to your organisation. You must not share API keys publicly, embed them in client-side code, or distribute them to third parties outside your organisation without explicit authorisation controls in place. You are solely responsible for all API calls made using your keys. If you suspect a key has been compromised, you must rotate it immediately via the dashboard and notify us.

We may log all API requests for security monitoring, abuse detection, and service analytics. Request metadata (timestamps, endpoint, response codes, token counts) is retained according to the audit-log retention period applicable to your plan. We do not log the content of tokens or agent private keys.

6. Subscription Plans and Trial

6.1 Trial

New accounts receive a 30-day free trial with access to 2 agents and 50,000 token issuances. No credit card is required during the trial. At the end of the trial period, access is suspended unless you upgrade to a paid plan. Trial data is retained for 30 days after suspension, then permanently deleted. One trial per legal entity.

6.2 Paid Subscriptions

Paid subscriptions are offered on the following tiers (subject to change with 30 days' notice):

  • Starter — $29/month: 5 agents, 50,000 tokens/month, 30-day audit log.
  • Pro — $99/month: 50 agents, 500,000 tokens/month, 5 team members, 90-day audit log.
  • Business — $299/month: 200 agents, 2,000,000 tokens/month, 15 team members, 1-year audit log, priority support.
  • Enterprise — Custom pricing: unlimited agents and tokens, custom audit-log retention, SLA, SSO/SAML.

Subscriptions are billed monthly in advance. Billing occurs on the same calendar day each month following the upgrade date.

6.3 Pay As You Go (PAYG)

PAYG is a metered fallback option available for organisations whose usage exceeds subscription limits or who do not hold an active subscription. PAYG charges are: $3 per agent per month, $0.50 per 1,000 token issuances, and $10 per additional month of audit-log retention. PAYG charges are calculated daily and invoiced at the end of each calendar month. PAYG does not override an active subscription; it applies only to usage that falls outside subscription allowances.

6.4 Billing Failure and Grace Period

If payment fails, we will retry up to three times over seven days. During this period your account enters a grace period with reduced access. If payment is not received by the end of the grace period, your account is downgraded. We are not responsible for data loss resulting from access suspension due to payment failure.

7. Cancellation and Refund Policy

You may cancel your subscription at any time via the dashboard or by contacting support@ampgate.io. Cancellation takes effect at the end of the current billing period; you will retain full access until that date.

No refunds are issued for partial months, unused token allowances, or periods already paid. Exceptions may be made at our sole discretion in cases of documented technical failure attributable to us. Where required by applicable consumer protection law, statutory refund rights are not excluded.

We reserve the right to modify pricing at any time with 30 days' advance notice to active subscribers. If you do not agree to a price change, you may cancel before the new pricing takes effect.

8. Rate Limiting and Fair Use

The Service applies rate limits to protect platform stability. Rate limits vary by plan tier. Sustained usage patterns that materially exceed fair use thresholds — even within documented limits — may trigger automated throttling or a request to upgrade. We will notify you before taking action except where abuse is detected.

9. Data Ownership and Licence

You retain all intellectual property rights to the data you input into the Service, including agent configurations, policy definitions, and audit logs ("Customer Data"). You grant us a limited, non-exclusive, worldwide, royalty-free licence to process Customer Data solely for the purposes of providing and improving the Service.

We do not train machine learning models on Customer Data, and we do not sell Customer Data to third parties. Aggregated, anonymised usage statistics that cannot reasonably be linked to you may be used for internal analytics and public reporting.

10. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in connection with the Service, using the same degree of care it uses to protect its own confidential information, but no less than reasonable care. This obligation does not apply to information that is or becomes publicly known through no breach of these Terms, or that must be disclosed by law or court order (provided the disclosing party gives reasonable prior notice where permitted).

11. Disclaimer of Warranties

Important — please read carefully

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components. We do not guarantee any specific level of uptime unless separately agreed in an Enterprise SLA.

You use the Service at your own risk. No advice or information obtained from us or through the Service creates any warranty not expressly stated in these Terms.

12. Limitation of Liability

Important — please read carefully

To the maximum extent permitted by applicable law:

  • We are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, even if we have been advised of the possibility of such damages.
  • Our aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you in the three calendar months immediately preceding the claim, or (b) USD $100.
  • These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if a limited remedy fails of its essential purpose.

Some jurisdictions do not allow exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless AmpGate, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your Customer Data; (c) your infringement of any third-party intellectual property or privacy right; or (d) your violation of any applicable law or regulation.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond that party's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, internet or telecommunications outages, or failures of third-party infrastructure providers. The affected party shall promptly notify the other and use reasonable efforts to mitigate the impact.

15. Suspension and Termination

We may suspend or terminate your access to the Service, with or without notice, if:

  • You breach these Terms and fail to cure within 7 days of written notice (or immediately where the breach is material, involves security, or is incapable of cure);
  • We detect abuse, fraud, or activity that poses a risk to the Service or other users;
  • Required by law or a competent authority;
  • You fail to pay amounts due after the grace period has elapsed.

Upon termination, your right to access the Service ceases immediately. Customer Data will be retained for 30 days following termination, after which it is permanently deleted. You may request an earlier deletion at any time. We will not be liable for any loss resulting from termination in accordance with these Terms.

You may terminate your account at any time; see Section 7 (Cancellation and Refund Policy) for the effect of termination on billing.

16. Intellectual Property

The Service, including all software, documentation, trademarks, and trade dress, is the exclusive property of AmpGate or its licensors. These Terms do not grant you any rights in our intellectual property other than the limited right to use the Service as described herein. All rights not expressly granted are reserved.

17. Third-Party Services

The Service integrates with third-party providers for payment processing (including Paddle or equivalent), email delivery, and cloud infrastructure. Your use of such third-party services is governed by those providers' terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of England and Wales, which shall have exclusive jurisdiction, subject to your rights under applicable consumer protection law.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm.

19. General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy and any Order Form or Enterprise Agreement, constitute the entire agreement between the parties with respect to the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver. Failure to enforce any provision shall not constitute a waiver of our right to enforce it in the future.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets.
  • Notices. Legal notices to us must be sent to legal@ampgate.io. We may send notices to the email address associated with your account.
